PKN Orlen: EC extended the deadline for countermeasures on Lotus acquisition to 14 XI

The European Commission extended the deadline for the implementation of the countermeasures for the acquisition of the Lotos Group by PKN Orlen until 14 November 2021, the company stated.
Dzięki tej procedurze możliwa będzie jeszcze bardziej wnikliwa analiza ofert partnerów, z którymi prowadzone są rozmowy dotyczące wdrożenia środków zaradczych, pod kątem korzyści dla wszystkich interesariuszy, podano w komunikacie.

In May 2021, the Ministry of State Assets, PKN Orlen, PGNiG and Lotos Group confirmed the merger structure by providing the merger mode by acquisition under Art. 492 KSH as a leading transaction model. The signed four-party agreement provides for a cash-free merger formula that guarantees a stable financial condition of the new, strong company and takes into account the needs of shareholders of all companies, including minority companies.
In July 2020, the European Commission granted conditional approval to PKN Orlen's acquisition of the Lotos Group. In response to the competition problems identified by the Commission, PKN Orlen proposed, inter alia, to divest 30% of the shares in the Lotos refinery together with a large package of management rights, to divest nine fuel depots for an independent logistics operator, to divest 389 retail stations in Poland, accounting for about 80% of the Lotos network, and to supply these stations with motor fuels and to sell 50% of the Lotos share in the joint venture in the jet fuel trading company which it holds together with BP.
